Workwarp, a northeast-based healthcare provider backed by Private Equity, is seeking an experienced Director of Mergers and Acquisitions to lead its inorganic growth initiatives. As a key member of the M&A team, you will play a pivotal role in driving business development activities, identifying acquisition targets, and executing transactions that align with the company’s long-term strategies.
About the Company and Role
Workwarp is a multi-site healthcare provider poised for exceptional growth, thanks to the support of its Private Equity backers. With a focus on substantial M&A volume, the company is actively forming an M&A team to drive its expansion plans. As the Director of Mergers and Acquisitions, you will report directly to the Chief Growth Officer and be responsible for providing robust support to the Corporate M&A function.
This is a remote opportunity, and candidates can be located anywhere on the eastern half of the country. The ideal candidate will have a strong background in corporate development, private equity, or investment banking, with a proven track record of driving M&A activities.
Key Responsibilities
- Drive Business Development Activities: Collaborate with the executive team to drive overall business development activities and implement an acquisition strategy plan aligned with long-term business strategies and capabilities.
- Identify and Source Acquisition Targets: Actively identify and source acquisition targets, cultivating relationships with brokers and building a deal pipeline in line with the Company’s strategic objectives.
- Analyze Addressable Markets: Collaborate with business unit leaders and functional specialists to develop and update strategies for addressable markets.
- Develop Business Cases and Valuation Models: Develop business cases and/or valuation models for each potential transaction, identifying and quantifying synergy opportunities with potential acquisitions.
- Lead M&A Transactions: Lead M&A transactions through cross-functional due diligence, leveraging integration planning inputs for successful integration.
- Interact with Third-Party Advisors: Regularly interact with third-party advisors (legal, financial, tax, consultants) to gather critical information regarding risks and opportunities for ongoing M&A activities.
- Structure and Negotiate Deals: Assist in structuring and negotiating deals, collaborating with the CEO to gain Board approval.
- Lead Post-Acquisition Integration Initiatives: Lead and coordinate post-acquisition integration initiatives to ensure a successful “first 90-days” post-close.
Essential Qualifications
- Bachelor’s Degree: A Bachelor’s degree is required; an MBA is preferred.
- Relevant Experience: 5-7+ years of results-oriented work experience in a similar role, including corporate development, private equity, and investment banking.
- Financial Modeling and Analysis: Ability to model and synthesize complex financial analysis, operational, and KPI data into concise presentations and decision frameworks regularly.
- M&A Experience: Experience leading M&A reviews and executions, analyzing business proposals, conducting due diligence, and structuring transactions.
- Strong Analytical Skills: Strong analytical skills, with an extreme attention to detail, accuracy, and accountability, balanced with sound business judgment.
Preferred Qualifications
- Background in Corporate Development: A background in corporate development, strategy, or business development functions is highly desirable.
- Proven Experience in Financial Modeling and Valuation: Proven experience in financial modeling, valuation, and presenting to an investment committee.
- Strong Board Presentation Skills: Strong Board presentation skills, including the development of PowerPoint presentations.
- Excellent Communication and Interpersonal Skills: Excellent professional written/verbal communication and interpersonal skills.
